Mater Misericordiae and the Children's University Hospitals Limited (MMCUH)

Corporate Structure

Mater Misericordiae University Hospital is a single member Company limited by guarantee with a share capital, and was incorporated as Mater Misericordiae University Hospital Limited on 18 th December 2001. The Company changed its name on 23 rd January 2003 to Mater Misericordiae University Hospital and is permitted to omit the word ‘Limited' from the Company title and when referring to the Company. The Company is a subsidiary of Mater Misericordiae and the Children's University Hospitals Limited, a company limited by guarantee and not having a share capital. The majority of the members of the Parent Company are Sisters of Mercy and the remaining members represent the Catholic Archdiocese of Dublin, the Catholic Nurses Guild of Ireland, the Society of St. Vincent de Paul and the Medical Consultants of Mater Misericordiae University Hospital and of Children's University Hospital.

The activities of the Company are charitable, to relieve, cure and prevent sickness and disability in the community in general by the establishment and provision of the Mater Misericordiae University Hospital in accordance with the mission and traditions of the Congregation of the Sisters of Mercy in Ireland.

History and Reputation

The Mater Misericordiae Hospital and the Children's Hospital Temple Street have provided public hospital care to adult and child patients respectively for more than 150 years. Based adjacent to one another in the north side of Dublin, the capital of the Republic of Ireland, the hospitals were established and run with the distinctive ethos of the Sisters of Mercy (Mater Hospital) and the Sisters of Charity (The Children's Hospital) as Catholic Voluntary Hospitals within the national health service of the Republic. Both hospitals are highly regarded teaching hospitals associated with the National University of Ireland and the Royal College of Surgeons and also provide national tertiary care in many branches of medicine.

Collaboration by Congregations

For more than two decades, during a period of financial stringency, the Board of the Children's Hospital sought a suitable location upon which to develop a new Children's Hospital whilst still serving the north inner city catchment area in which it is based. In the mid-1990's, with the encouragement of the Secretary General of the Department of Health, the two religious congregations agreed to an innovative plan whereby the Sisters of Mercy would “swap” their trusteeship of St Michaels Hospital on the south side of the city (where the Sisters of Charity own and run the renowned St Vincent's Hospital) for the trusteeship of the Children's Hospital. Thus, the Sisters of Charity now operate two major public hospitals on the southside of Dublin city whilst the Sisters of Mercy hold responsibility for the two north-side Catholic hospitals.

Government – A Vital Ally

A critical part of the overall agreement was the undertaking by Government to fund the development costs associated with the new Children's Hospital which is to be sited on the car park of the existing Mater Misericordiae Hospital. This development, which will also create significant new facilities for the Mater Hospital, is being undertaken by Mater & Children's Hospital Development Limited (MCHD). A further element in the discussions with the Department of Health was the introduction of a new form of governance for the two hospitals that took account of the changing role of the Sisters of Mercy in their management of hospitals.

New Structures for a New Century

Accordingly, after almost two years of preparatory work, a new corporate governance structure was introduced in January 2002 whereby three new companies were incorporated. MMCUH is the holding company for two subsidiary companies – Mater Misericordiae University Hospital and Children's University Hospital - each of which will be responsible for the separate management of the respective hospitals.

Each of the companies has been granted charitable exemption by the Irish authorities and the holding company is limited by guarantee i.e. does not have any shareholders or share capital. Under this new structure, the Sisters of Mercy continue to be involved in the ownership of the two hospitals (as the Members of the holding company). The management responsibility of each hospital is delegated to the respective subsidiary company and their Boards of Directors. Each of these Boards consists both of members of the Congregation and members of the lay community with a range of different professional expertise and experience. The Holding Company functions through a non-executive Board of Governors and a full-time secretariat.
